What is an Angel Investor?

Originally, the term “angel” was coined to refer to the people who financed Broadway plays when all else failed. Today this term has become common among the investment community to refer to a high net-worth individual that invests their own personal funds in various businesses. In the US, it is estimated that there are well over 250,000 active angel investors that annually invest approximately $20 billion in American businesses. In 2003, over 42,000 businesses in the United States received angel financing (it is believed this number is much higher as many of these investments go unreported). This represents roughly 7% of what the banks are investing. As well, statistics show that this figure trumps that of venture capital lending and as much as 30 to 40 times more angel capital is invested annually than venture capital. Some estimate that angel investments have financed approximately twice as many firms as any other form of external equity investment, including institutional venture capital.

The MIT Entrepreneurship Center conducted a study in 2000 on Angel Investors called the “Venture Support System Project: Angel Investors,” and found that these individuals fall into four categories. They are:

  • Guardian Angels, who bring both entrepreneurial and industry expertise. Many have been successful entrepreneurs in the same sector as the new companies they back.
  • Entrepreneur Angels, who have experience starting companies but come from different industry sectors.
  • Operational Angels, , who bring industry experience and expertise, but generally from large, established companies, and may lack first-hand experience with the travails of a startup.
  • Financial Angels, who typically invest purely for the financial return.

All are present within today’s angel organizations, but many group form around similar types of investors. Some groups have arisen out of industry trade associations, while others have started from a cadre of professionals with shared interests.

We know what most of you want. Most of you want to hire someone to raise capital for you. If so, then hire a stockbroker away from a securities brokerage firm and employ him or her as your “In-House CFO” because no legitimate securities brokerage firm will raise capital for start-up or early stage companies. It has been our experience that the following options work best when trying to attract capital:

Seed Capital Prospecting:

    • Personal & Professional contacts. These individuals already know and trust your character and work ethic. (This is known as the Friends & Family round).
    • Network with local community leaders. We are referring to those who are in engaged in the economic development of your local geographic area. (i.e. the Chamber of Commerce, University Incubators, Economic Development Corporations, etc.).
    • Your local bank and various leasing companies.

 

Development Capital Prospecting:

    • In addition to the above prospecting techniques, include prospecting Angel Networks. (See the Financing Resources Links in the Commonwealth Capital Club).

 

Expansion Capital Prospecting:

    • In addition to the above prospecting techniques, you may want to consider registering your company’s securities at the State level for an Intra-State offering of a private entity. This will give you the ability to advertise your securities in the general media (for investor leads) with this type of registration. (Depending on the amount of money you are seeking, generally this is for those who are seeking $1-5 million).
    • Hire a Stockbroker. At this stage, you may want to consider hiring a stockbroker away from his or her firm to work for your company exclusively. Provide a base salary with pre-determined performance bonuses, stock options, matching 401(k) program, profit sharing, etc. Remember, you cannot pay anyone a percentage of the amount raised unless the securities are being sold through a bona fide registered investment bank/broker dealer, which must be an NASD Member. Just make sure that the stockbroker position becomes a permanent position within your company.

 

Continued Expansion Prospecting:

  • NASD Member Firm. Engage a NASD Member Firm to serve as lead manager underwriter for syndicated selling groups, which will sell your company’s securities, for a commission, to raise capital for your company.

AND COMMONWEALTH CAPITAL, LLC

The COMMONWEALTH CAPITAL, LLC Website may be comprised of various Websites, including the COMMONWEALTH CAPITAL CLUB password protected area of the site and Web pages operated by COMMONWEALTH CAPITAL, LLC or its affiliates (collectively, the COMMONWEALTH CAPITAL, LLC Web “Sites/Services”).

The COMMONWEALTH CAPITAL, LLC Websites are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the COMMONWEALTH CAPITAL, LLC Websites constitutes your agreement to all such terms, conditions, and notices. MEMBER ACCOUNT, PASSWORD AND SECURITY

If a particular COMMONWEALTH CAPITAL, LLC Website, or any product or service offered on any COMMONWEALTH CAPITAL, LLC Website (each a “COMMONWEALTH CAPITAL, LLC Site/Service”, and collectively “COMMONWEALTH CAPITAL, LLC Sites/Services”) requires you to open an account, you must complete the registration process by providing us with current, complete, and accurate information as prompted by the applicable registration form. You then will choose a password and a user identification name, (User I.D.). You are entirely responsible for maintaining the confidentiality of your Password, User I.D., and account. You agree to notify COMMONWEALTH CAPITAL, LLC immediately of any unauthorized use of your account or any other breach of security. COMMONWEALTH CAPITAL, LLC will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by COMMONWEALTH CAPITAL, LLC or another party due to someone else using your account or password. You may not use anyone else’s account at any time.

COMMONWEALTH CAPITAL, LLC shall monitor activities associated with your User I.D. and Password. If two or more computers are accessing the site at the same time, with your User I.D. and Password, COMMONWEALTH CAPITAL, LLC shall inform you and shall issue you a new User I.D. and Password. If it happens three times, COMMONWEALTH CAPITAL, LLC, will assume that you have given out your User I.D. and Password to unauthorized persons in violation of this agreement. Upon such an occurrence, COMMONWEALTH CAPITAL, LLC will then cancel your User I.D., Password, and account for an indefinite period-of-time.

MODIFICATION OF THESE TERMS OF USE

COMMONWEALTH CAPITAL, LLC reserves the right to change the terms, conditions, and notices under which the COMMONWEALTH CAPITAL, LLC Sites/Services are offered, including but not limited to the charges associated with the use of the COMMONWEALTH CAPITAL, LLC Sites/Services. You are responsible for regularly reviewing these terms and conditions and additional terms posted on particular websites. Your continued use of the COMMONWEALTH CAPITAL, LLC Sites/Services constitutes your agreement to all such terms, conditions, and notices.

GENERAL

The laws of the State of Michigan, U.S.A. govern this agreements. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Emmet County, Michigan, U.S.A. in all disputes arising out of or relating to the use of the COMMONWEALTH CAPITAL, LLC Sites/Services. You agree that no joint venture, partnership, employment, or agency relationship exists between you and COMMONWEALTH CAPITAL, LLC as a result of this agreement or use of the COMMONWEALTH CAPITAL, LLC Sites/Services. You agree to indemnify and hold COMMONWEALTH CAPITAL, LLC, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys’ fees, asserted by any third party due to or arising out of your use of or conduct on the COMMONWEALTH CAPITAL, LLC Sites/Services.

Timothy Daniel Hogan

Mr. Hogan has been in the Investment Banking and Securities Industry, since May 5th 1985. His securities industry training started with a few large securities brokerage and investment banking firms, such as; Merrill Lynch, E. F. Hutton and Shearson Lehman Brothers, now known as, Salomon/Smith Barney a Member of Citigroup. He’s held Six (6) NASD/FINRA securities licenses and registrations primarily of “Principal” status. Mr. Hogan is a former Director of Compliance and Senior Trading Principal for North American Financial Group, Inc. a SEC Registered Investment Bank and Securities Broker. Chairman of the Investment Policy Committee for North American Capital Advisors, Inc. a SEC Registered Investment Advisory firm.

Mr. Hogan has been a Founding Principal of seven entrepreneurial endeavors, including an eighteen-hole championship golf course and real estate development, a software-development firm and other Internet related businesses, as well as, an investment-banking company. He has held board and executive committee seats on various firms. Mr. Hogan holds a double major (Marketing & Finance) Bachelors of Business Administration from Grand Valley State University’s Seidman College of Business.

 

Russell C. Weigel III, Esq.

Mr. Weigel is a securities lawyer that started his legal career in 1989. Between 1989 and 1990, Mr. Weigel served the state of Florida as a criminal prosecutor. Between 1990 and 2001, Mr. Weigel worked for the Securities and Exchange Commission as an enforcement attorney. He supervised and conducted numerous investigations and litigated many civil injunctive and administrative proceedings nationwide. Most of his cases involved allegations of fraud, sales of unregistered non-exempt securities or regulatory compliance violations. Mr. Weigel also supervised investigations and litigated cases involving securities issuers’ Ponzi schemes and false financial reporting. The targets of Mr. Weigel’s cases typically were stock promoters, public companies, broker dealers, investment advisers, and stock transfer agents.

 

Mr. Weigel currently has a private practice, specializing in securities law. He handles both securities transactional and securities litigation matters. His focus includes advising public and private company clients on capital raising transactions and mergers, preparing their SEC reports and registration statement filings, regulatory compliance matters for securities-industry participants, and defending clients involved in arbitrations and FINRA, SEC, and state securities enforcement matters. Mr. Weigel is an AV-rated[1] securities attorney.

 

Mr. Weigel joined Commonwealth Capital Advisors as a Managing Director and Chief Legal Counsel in April of 2014. He joined Commonwealth Capital in the same capacity.
